1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer", "you", or "your") and AART SPACE LTD ("Company", "we", "us", or "our") governing your access to and use of our wholesale trade platform and services.

By accessing our platform, submitting a wholesale account application, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our platform or services.

These Terms apply in addition to our Privacy Policy and Trade Terms, which are incorporated herein by reference.

2. Wholesale Account Registration

2.1 Eligibility

Our wholesale platform is intended for business use only. To register for a wholesale account, you must:

• Be a registered business or legal entity
• Have a valid business registration number or tax ID
• Be 18 years of age or older
• Have legal authority to enter into binding contracts on behalf of your business
• Operate in the retail, gallery, museum, or online marketplace sectors

2.2 Application Process

To apply for a wholesale account:

• Complete the online wholesale application form with accurate business information
• Provide all required documentation (business registration, tax ID, etc.)
• Await approval from our team (typically 2-5 business days)
• Receive confirmation email with account credentials upon approval

We reserve the right to approve or decline any wholesale account application at our sole discretion. Declined applications may reapply after 6 months.

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breaches
• Keeping your business and contact information up to date

3. Ordering and Payment

3.1 Order Placement

When you place an order through our platform:

• You submit an offer to purchase products at the quoted wholesale prices
• Your order is subject to acceptance by us
• We will send you an order confirmation email upon acceptance
• A binding contract is formed only when we dispatch your order

We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud.

3.2 Minimum Order Requirements

• Initial Order: No minimum (to test our products and service)
• Reorders: £500 minimum order value
• Free Shipping: Orders over £200 qualify for free UK shipping

3.3 Pricing

All prices are:

• Listed in British Pounds Sterling (GBP)
• Exclusive of VAT (20% VAT will be added for UK customers)
• Wholesale prices (typically 40-50% off recommended retail price)
• Subject to change without notice (orders confirmed at the price quoted at checkout)

3.4 Payment Terms

Standard Payment: Payment is required at the time of order placement via Stripe (credit/debit card or direct debit).

Credit Account (Net 30): Available to approved customers with established order history. Contact sales@aartspace.com to apply.

• Payment due within 30 days of invoice date
• Late payments subject to 1.5% monthly interest charge
• Accounts 60+ days overdue may be suspended

3.5 Failed Payments

If payment fails or is declined:

• Your order will be held for 72 hours pending payment resolution
• We will contact you to resolve the payment issue
• Orders not paid within 72 hours may be cancelled
• Account may be suspended for repeated payment failures

4. Pricing and Availability

4.1 Price Accuracy

While we strive for accuracy, pricing or product description errors may occur. If we discover an error:

• We will notify you before processing your order
• You may choose to proceed at the correct price or cancel
• We are not obligated to honor incorrect prices
• Full refund will be issued if you choose to cancel

4.2 Product Availability

All products are subject to availability:

• Stock levels are updated regularly but may not reflect real-time availability
• We reserve the right to limit quantities or refuse orders
• If a product becomes unavailable after you order, we will notify you and offer alternatives or a refund
• Pre-orders or backordered items will be clearly marked with estimated delivery dates

5. Shipping and Delivery

5.1 UK Shipping

• Free shipping on orders over £200
• Standard delivery: 3-5 business days, £15 flat rate
• Express delivery: 1-2 business days, £25 flat rate
• All shipments are tracked and insured

5.2 International Shipping

We ship to selected countries worldwide. Rates vary by destination and are calculated at checkout. Customer is responsible for:

• Customs duties, taxes, and import fees
• Compliance with local import regulations
• Accurate delivery address and contact information

5.3 Delivery

Estimated delivery times are guides only and not guaranteed. We are not liable for delays caused by:

• Carrier delays or disruptions
• Customs clearance
• Incorrect delivery information provided
• Recipient unavailability
• Force majeure events (strikes, natural disasters, pandemics, etc.)

You must inspect your order upon delivery. Report any damage or missing items within 48 hours.

6. Returns and Refunds

6.1 Return Policy

We want you to be satisfied with your purchase. Returns are accepted under the following conditions:

• Damaged or Defective Items: Full refund or replacement within 30 days
• Incorrect Items: We will replace with correct items at no charge
• Change of Mind: Returns accepted within 14 days (restocking fee may apply)

6.2 Return Procedure

To initiate a return:

1. Contact us at sales@aartspace.com within the applicable return period
2. Provide your order number and reason for return
3. Await return authorization (RMA) number
4. Return items in original packaging with all materials and accessories
5. Ship to the address provided (you are responsible for return shipping costs unless item is defective or incorrect)

6.3 Non-Returnable Items

• Custom or personalized items
• Items marked as final sale or clearance
• Used, damaged, or incomplete items (unless defective)
• Items without original packaging

6.4 Refunds

Approved refunds will be processed to your original payment method within 7-10 business days of receiving and inspecting the return.

7. Intellectual Property

7.1 Our Rights

All content on our platform, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of AART SPACE LTD or its licensors and is protected by UK and international intellectual property laws.

7.2 Licensed Use

As an approved wholesale customer, you are granted a limited, non-exclusive license to:

• Use product images and descriptions for marketing and resale purposes
• Display products in your physical or online store
• Reference AART SPACE LTD as your supplier

7.3 Restrictions

You may not:

• Modify, reproduce, or distribute our content without written permission
• Use our trademarks or logos without authorization
• Sell products on marketplaces that undercut our direct retail prices
• Represent yourself as an authorized dealer or official partner without agreement
• Reverse engineer, decompile, or attempt to access source code of our platform

8. Prohibited Uses

You agree not to use our platform or services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit harmful code (viruses, malware, etc.)
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm other users or our staff
• Attempt to gain unauthorized access to our systems
• Interfere with the platform's operation or security
• Scrape, harvest, or collect user data
• Use automated tools (bots, scrapers) without permission
• Resell products in violation of manufacturer agreements

9. Limitation of Liability

9.1 Disclaimer of Warranties

Our platform and products are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Limitation of Liability

To the maximum extent permitted by law, AART SPACE LTD shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use our platform or products
• Damages from unauthorized access to or alteration of your data

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amount you paid for the product or service giving rise to the claim, or £500, whichever is greater.

9.3 Exceptions

Nothing in these Terms shall limit or exclude our liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be limited or excluded by law

10. Indemnification

You agree to indemnify, defend, and hold harmless AART SPACE LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use of our platform or products
• Your resale or distribution of our products
• Any false or misleading information you provide

11. Termination

11.1 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You breach these Terms or any other agreement with us
• We suspect fraudulent or illegal activity
• You fail to pay outstanding invoices
• Your account has been inactive for over 2 years
• We cease to offer wholesale accounts or products

11.2 Termination by You

You may close your account at any time by contacting us at sales@aartspace.com. You remain liable for:

• All outstanding payments and fees
• Obligations arising before termination
• Warranty claims on products purchased

11.3 Effect of Termination

Upon termination:

• Your access to the platform will be revoked
• You must cease using our intellectual property
• All licenses granted to you will terminate
• Outstanding orders may be cancelled (at our discretion)

12. Governing Law and Disputes

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

12.2 Dispute Resolution

In the event of a dispute:

2. Mediation: If informal resolution fails, both parties agree to attempt mediation
3. Litigation: As a last resort, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date
• Significant changes will be notified via email
• Continued use of the platform constitutes acceptance of new Terms
• If you do not agree with changes, you must stop using our services

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Trade Terms, constitute the entire agreement between you and AART SPACE LTD regarding your use of our platform and services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, strikes, pandemics, or government actions.
