1. Trade Account Benefits

As an approved partner, you enjoy exclusive benefits:

2. Product Authenticity Guarantee

All products sold through our program are:

• 100% Authentic: Genuine AART SPACE LTD products or licensed merchandise
• Official Publications: Direct from publisher or authorized distributor
• Quality Assured: Inspected before shipping
• Certificate of Authenticity: Available upon request for limited editions

3. Resale Guidelines

To maintain brand integrity and fair competition:

• Minimum Advertised Price (MAP): Please do not advertise below our suggested retail prices
• Online Marketplaces: Resale on Amazon, eBay, or similar platforms requires written approval
• Brand Representation: Use of AART SPACE LTD logo or brand marks requires authorization

4. Order Minimums

• First Order: Minimum 10 units
• Reorders: Minimum order value of £500
• Volume Discounts: Available — contact hello@aartspace.com for tier pricing
• We reserve the right to decline orders that do not meet minimum requirements

5. Pricing

• All wholesale prices are quoted exclusive of VAT
• VAT will be charged at the prevailing rate on all UK orders
• Prices are in British Pounds Sterling (GBP)
• Wholesale prices represent a discount from the recommended retail price (RRP)
• Prices are subject to change with 30 days written notice to existing account holders
• Price changes will not affect orders already confirmed

6. Payment Terms

• New Accounts: Payment on dispatch via Stripe (credit/debit card)
• NET 30: Available after 3 successfully completed orders with no late payments. Apply via hello@aartspace.com
• NET 60: Available by arrangement for high-volume accounts
• Late Payment: Interest charged at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
• Late Payment of Commercial Debts Act: We also reserve the right to claim reasonable debt recovery costs as permitted under the Act
• Accounts 60+ days overdue may be suspended and referred to a debt recovery agency
• All prices and payments are in GBP

7. Delivery

• Orders are dispatched within 2–5 business days of payment confirmation (or invoice date for credit accounts)
• UK Standard Delivery: 3–5 business days
• Bulk and Pallet Orders: Delivery timescales confirmed at time of order
• International Delivery: Available — timescales and costs confirmed at checkout
• We will provide tracking information for all dispatched orders

8. Title and Risk

• Risk of loss or damage passes to the buyer on delivery
• Title to goods remains with AART SPACE LTD until full payment has been received (retention of title)
• Until title passes, you must:
  • Store the goods separately and identifiably as AART SPACE LTD property
  • Not remove any identifying marks
  • Maintain the goods in satisfactory condition and keep them insured

9. Returns

• Damaged Goods: Must be reported within 48 hours of delivery with photographs
• Undamaged Returns: Accepted within 14 days in original, resaleable condition
• Restocking Fee: A 10% restocking fee may apply to undamaged returns
• Return Shipping: The buyer is responsible for return shipping costs

10. Limitation of Liability

Our total aggregate liability under these trade terms shall not exceed the value of the order giving rise to the claim.

We are not liable for any indirect, special, incidental, or consequential losses, including but not limited to:

• Loss of profit
• Loss of revenue
• Loss of business
• Loss of goodwill
• Loss of anticipated savings

Nothing in these terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited by law

11. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to:

• Natural disasters, war, or terrorism
• Strikes or industrial action
• Epidemic or pandemic
• Government restrictions
• Postal disruptions
• Power failure or telecommunications failure

The affected party must notify the other as soon as reasonably practicable. If force majeure continues for more than 90 days, either party may terminate the affected order(s).

12. Governing Law

These trade terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

13. Dispute Resolution

In the event of a dispute, the parties agree to the following escalation process:

1. Good faith negotiation between the parties for a period of 30 days
2. If unresolved, referral to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure
3. If mediation fails, the dispute shall be referred to the courts of England and Wales

The cost of mediation shall be shared equally between the parties.

14. General

• Severability: If any provision of these terms is found to be unenforceable, the remainder shall continue in full force and effect
• Entire Agreement: These trade terms, together with the Terms of Service, Privacy Policy, and Returns Policy, constitute the entire agreement for wholesale transactions
• No Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights under these terms without our prior written consent
